Terms of Service
These terms govern your use of the GovernPoint website and the GovernPoint product, supplied by Apps 365 Ltd. Please read them carefully. GovernPoint is intended for use by businesses and other organisations, not consumers.
About these terms
These terms form an agreement between Apps 365 Ltd ("we", "us", "our") and you and the organisation you represent ("you", "Customer"). By accessing this website, requesting a demo, or installing or using GovernPoint, you agree to these terms. If you are entering into them on behalf of an organisation, you confirm that you have authority to bind that organisation.
Where you and we have signed a separate written agreement or order form for GovernPoint, that agreement takes precedence over these terms to the extent of any conflict.
Definitions
- "GovernPoint" or the "Product" means our SharePoint governance and Microsoft Copilot readiness analyzer, supplied as a SharePoint Framework (.sppkg) package, together with any updates and documentation.
- "Order" means a quote, order form or online checkout describing the plan, scope and fees you have selected.
- "Customer Environment" means your Microsoft 365 tenant and SharePoint Online environment in which the Product is deployed.
- "Customer Data" means data within the Customer Environment that the Product reads or analyses.
The service
GovernPoint is a SharePoint Online governance and Microsoft Copilot readiness analyzer. It is deployed once via your SharePoint App Catalog and runs as a web part within your own Customer Environment, analysing governance metadata using the signed-in user's permissions and applying optional one-click remediations that you initiate. We provide the Product and this website with reasonable skill and care, but we do not warrant that they will be uninterrupted, error-free, or that they will meet every requirement you may have.
Licence & permitted use
Subject to these terms, your Order and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Product within the scope set out in your Order (for example a single site, a site collection, or your tenant) for your internal business purposes during the licence term.
You must not, except as the law allows: copy, resell, rent or sublicense the Product; reverse engineer, decompile or attempt to derive its source code; remove or obscure any proprietary notices; or use the Product to build a competing product or service.
Your responsibilities
- You are responsible for your Customer Environment, including its configuration, the Microsoft licences it requires, the permissions and consents granted during deployment, and the accounts used to operate the Product.
- You are responsible for reviewing the effect of any remediation before you apply it, and for maintaining appropriate backups; remediations change settings in your own environment and you remain in control of them.
- You must use the Product lawfully and in line with your own internal policies and any applicable third-party terms, including Microsoft's.
- You must keep any administrator or login credentials we issue secure.
Fees, licensing & renewal
GovernPoint is licensed on an annual subscription basis by scope (for example Site Licence, Site Collection or Tenant), as set out in your Order. Fees are stated in pounds sterling (GBP) and are exclusive of VAT and any other applicable taxes, which you will pay in addition where due.
Unless your Order states otherwise, licences run for an initial term of twelve (12) months from activation and renew for successive twelve-month periods unless either party gives notice of non-renewal before the end of the then-current term. Fees are payable in advance and are non-refundable except where required by law or expressly stated in your Order. We may adjust fees for a renewal term by giving you reasonable prior notice.
Trials & assessments
We may offer free trials, walkthroughs or no-obligation assessments. These are provided "as is", may be limited in time or function, and may be withdrawn or changed at any time. The warranty and liability provisions below apply to them, and no fees are due unless you choose to proceed to a paid plan.
Intellectual property
We and our licensors own all intellectual property rights in the Product, this website and our brand, including the GovernPoint name and logo. Nothing in these terms transfers any of those rights to you other than the limited licence granted above. You own your Customer Data, and any feedback you choose to give us may be used by us to improve our products without obligation to you.
Data protection
Our handling of personal data through this website is described in our Privacy Policy. Because the Product runs inside your Customer Environment and analyses governance metadata using the signed-in user's permissions, your organisation remains the controller of Customer Data and we do not host or receive the content of your documents. Each party will comply with applicable data protection law in respect of its own role. Where we process personal data on your behalf in connection with support, we will do so in accordance with your reasonable instructions and our Privacy Policy.
Microsoft & third parties
The Product depends on Microsoft 365, SharePoint Online and the Microsoft Graph, which are operated by Microsoft and outside our control. We are not responsible for the availability, changes, or behaviour of those platforms or any other third-party service. Microsoft, SharePoint, Microsoft 365 and Copilot are trademarks of Microsoft Corporation; Apps 365 Ltd is an independent vendor and is not affiliated with, sponsored by, or endorsed by Microsoft.
Warranties & disclaimer
We warrant that we will provide the Product and our services with reasonable skill and care. Except as expressly stated in these terms, and to the fullest extent permitted by law, the Product and website are provided "as is" and "as available", and we exclude all other warranties, conditions, representations and terms, whether express or implied by statute, common law or otherwise, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. GovernPoint produces scores and recommendations to assist your governance decisions; it does not replace your own judgement, and we do not warrant any specific governance, security or compliance outcome.
Limitation of liability
Nothing in these terms limits or excludes either party's liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under applicable law.
Subject to the above, and to the fullest extent permitted by law:
- we will not be liable for any indirect, special or consequential loss, or for loss of profits, revenue, anticipated savings, business, goodwill, or for loss of or damage to data, in each case whether arising in contract, tort (including negligence) or otherwise; and
- our total aggregate liability arising out of or in connection with these terms, the Product and the website will not exceed the greater of (a) the fees paid by you to us in the twelve (12) months immediately before the event giving rise to the claim, and (b) one hundred pounds (£100).
You are responsible for reviewing and backing up your environment before applying any remediation, and we are not liable for changes you choose to apply to your own Customer Environment.
Confidentiality
Each party may receive confidential information from the other in connection with these terms. Each party will keep the other's confidential information confidential, use it only for the purposes of these terms, and protect it with at least reasonable care. This does not apply to information that is or becomes public through no breach, was already known, is independently developed, or must be disclosed by law.
Term & termination
These terms apply while you use the website or the Product. Either party may terminate a licence on written notice if the other materially breaches these terms and fails to remedy the breach within 30 days of being asked to, or immediately if the other becomes insolvent. On termination your right to use the Product ends and you must stop using it and, if asked, remove it from your Customer Environment. Provisions that by their nature should survive termination - including intellectual property, confidentiality, disclaimers, limitation of liability and governing law - will continue to apply.
Changes
We may update the Product, this website and these terms from time to time, for example to reflect new features, security improvements or changes in the law. The "last updated" date shows when these terms were last revised, and your continued use after a change takes effect means you accept the updated terms. We will not reduce the core functionality of a paid plan during a paid term without your consent except where required for legal or security reasons.
General
- Assignment. You may not assign or transfer these terms without our consent; we may assign them to an affiliate or in connection with a sale of our business.
- Entire agreement. These terms, your Order and our Privacy Policy are the entire agreement between us regarding their subject matter and supersede earlier discussions.
- Severability & waiver. If any provision is found unenforceable, the rest continue in force; a failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.
- Third parties. No one other than you and us has any right to enforce these terms.
- Notices. Formal notices to us should be sent to info@apps365ltd.com and to our registered office.
Governing law
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings to protect our intellectual property in any competent court.
